Terms and Conditions

In these Terms and Conditions, the following definitions apply:

• The Service Provider grants the Driver a non-exclusive, non-transferable license to access and use the Service solely for managing their school transport duties.
• The User agrees to use the Service only as permitted under these Terms and for its intended purpose. Any unauthorized use is strictly prohibited.

• Users must be legally eligible to enter into a binding contract under Kenyan law.
• Registration requires accurate submission of personal and professional details, including valid driver's credentials.
• Users are responsible for safeguarding their login credentials and must notify the Service Provider immediately of any unauthorized access.

• If applicable, any subscription or fee-based services for the Driver account will be clearly outlined, including pricing, billing cycles, and renewal policies.
• Users shall be informed of any charges, and payments must be made according to the agreed billing schedule.
• Late payments or non-payment may result in account suspension or termination as specified herein.

• Drivers must not misuse the Service, including but not limited to, unauthorized access, data scraping, or any activity that compromises the security or integrity of the platform.
• Users are required to comply with all applicable laws and regulations and must use the Service in a responsible manner.
• Any violation of these Terms may result in immediate suspension or termination of the account.

• All intellectual property rights in the Service, including software, design, content, and any proprietary materials, remain with Citrus Labs Limited.
• Users are granted a limited license to use the Service as specified; no other rights are conveyed.
• Any user-generated content remains the property of the user, subject to the platform's usage rights as defined in these Terms.

• The collection, use, storage, and sharing of user data are governed by our Privacy Policy, which is incorporated by reference.
• Citrus Labs Limited will ensure compliance with Kenyan data protection laws, and users consent to the processing of their personal data for the purposes of providing and improving the Service.
• Users are responsible for providing accurate information and must update their details as necessary.

• The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied.
• Citrus Labs Limited is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Service, to the fullest extent permitted by law.
• The total liability of Citrus Labs Limited, whether in contract, tort, or otherwise, is limited to the fees paid (if any) by the user for the Service.

The Driver agrees to indemnify, defend, and hold harmless Citrus Labs Limited and its affiliates from any claims, damages, liabilities, and expenses arising out of or related to their use of the Service or breach of these Terms.

• This Agreement commences on the Effective Date and remains in effect until terminated by either party.
• Either party may terminate this Agreement by providing 30 days' written notice.
• Upon termination, access to the Service will be revoked, and any outstanding payments will become immediately due. Data may be deleted or archived in accordance with the platform's data retention policy.

• These Terms and Conditions are governed by and construed in accordance with the laws of Kenya.
• Any disputes arising under these Terms shall be resolved through negotiation and, if necessary, through mediation, arbitration, or litigation in the jurisdiction of Nairobi, Kenya.

• Citrus Labs Limited reserves the right to update or modify these Terms and Conditions at any time.
• Users will be notified of material changes via email or through a prominent notice on the platform.
• Continued use of the Service constitutes acceptance of the updated Terms.

• The Service may integrate or provide links to third-party services; however, Citrus Labs Limited is not responsible for the content, functionality, or practices of these third-party services.
• Use of any third-party services is subject to their own terms and conditions.

• Citrus Labs Limited shall not be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, acts of government, or other force majeure events.
• If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
